Putting an Offer in Writing

A verbal number thrown out on a call is easy to forget and easy to misquote later. A written indicative offer, even a short one, shows a seller you are organised and forces you to think through the details before you commit to them publicly.

  • Headline price and how it is structured between cash, deferred and any
  • The key assumptions the price is based on, including the earnings figure used
  • Conditions the offer is subject to, such as satisfactory and funding
  • Indicative timing for exchange and
  • Evidence of funding capacity, such as a mandate letter or proof of available equity
